9 February 2010 - Chairman's Letter to Shareholders

Dear Shareholder,

Changes to Quantum BioEnergy Limited's Board of Directors

On 31 January 2010, I accepted the resignation of Stephen Joseph as non-Executive Director of Quantum BioEnergy Limited (QBL). Stephen is pursuing a new business opportunity that will require a considerable commitment from him, which will make it difficult for him to continue to diligently fulfill his duties as a Director of QBL. On behalf of the Board I'd like to take this opportunity to acknowledge Stephen's contribution to the Board and to thank him for his valuable input to the development of the QBL business model.

Today I have also accepted the resignation of Lionel Freedman as non-Executive Director of QBL. Lionel is essentially the founder of QBL's business and has contributed enormously to the business over the past 12 years. Lionel's tenacity and commitment to the QBL vision has been crucial to QBL's survival during the R&D phase and the preparation of the business for a commercial footing. With QBL having now transitioned to its commercial phase, Lionel has advised the Board of his decision to resign as a Director of QBL and has also asked us to release him from the Contractors Agreement that existed between Lionel's company Hirlgrove and QBL. Lionel has advised that he believes it is time to leave the new management team to the task of taking the business forward in the commercial environment. Lionel has also advised that he is devoting more and more of his time to new business ventures in Malaysia that are unrelated to QBL. This is making it increasingly difficult to continue to make the necessary commitment of time to QBL matters. On behalf of the Board I'd like to publicly acknowledge Lionel's undying commitment and valuable contribution to making QBL what it is today. Lionel has also been steadfastly supported by his wife Stella over the past 12 years during the trials and tribulations associated with building a new and exciting business. We offer our sincere gratitude to Lionel and Stella and wish them success and happiness in the future.

Once again thank you for your ongoing support and please join me in wishing Stephen, Lionel and Stella all the best for the future.

Yours Sincerely,

Richard Brimblecombe

29 January 2010 - Chairman's Letter to Shareholders

Dear Shareholder,

On 22nd January 2010 we forwarded an amended Entitlement Offer document to all shareholders. The accompanying letter indicated that we anticipated generating first revenue from the Murray Goulburn Project by 29th January 2010.

I am delighted to announce that today we successfully commenced generation of electricity from both Biogas generator sets at the Murray Goulburn site at Leongatha. There is still further work to do to achieve practical completion of the project, but today we have generated power to the site while fully synchronised to the grid. This represents the first commercial revenue for QBL from electricity sales. There are some operational issues that will inhibit us from reaching full operational capacity in the short term, however failing additional unforeseen problems, we are confident these issues will be resolved in the coming weeks and within the current budget.

Today is an exciting day for our shareholders, our dedicated team of staff and contractors, and our client - Murray Goulburn Co-operative. On behalf of the Board I'd like to publicly acknowledge the effort of the QBL team, and in particular I'd like to recognise the dedication and commitment shown by our CEO Abre de Villiers, our CFO Justin Vianello, and our Project Manager Nathanael von Muralt. It is primarily due to the effort of these key staff that we have been able to achieve todays milestone. I'd also like to thank and acknowledge the support of our external contractors, in particular Gencare.

Also, we sincerely appreciate the support shown by Murray Goulburn in firstly awarding the project to QBL and subsequently in working with us in such a constructive fashion throughout the construction phase to achieve todays outcome. In particular we'd like to recognise the contribution of Mark Gurney and Matthew Percival. We are hopeful that we will be able to build a long term mutually beneficial relationship with Murray Goulburn.

Should you have any questions regarding today's announcement, please don't hesitate to contact our Company Secretary & CFO, Justin Vianello on 07 3177 1040.

Yours Sincerely,

Richard Brimblecombe
